Credifactor, S.A.- • Advised the President and directed the restructuring of the balance sheet, due to external adverse macroeconomic conditions that have deteriorated the book of loan receivables.
- • Developed a new corporate presentation, having structured the complete concepts of three IT systems that are an important intellectual property asset for the company.
- • Conducted meetings with New York investment bankers that could provide an option for restructuring liabilities and provide new funding to generate the growth of the loan receivables.
- • Advised the President with regards to the structure, communications and negotiation strategy and for the repayment terms renegotiated with 130 bondholders.
- • Secured board approval of $500,000 equity investment from Multilateral Investment Fund (MIF) of the InterAmerican Development Bank that facilitated and secured bank lending to promote international investments for this multilateral agency.

Financia-Versatec- • Devised, developed, implemented innovative development projects with comprehensive attention to: external clients, CEO, board directors, committees; internally: to sales/marketing, credit/finance, operations, IT/infrastructure and compliance/internal controls. Worked extensively cross functionally. Directly and indirectly managed staff of over 70. Drove this group to a $700-million-dollar value.
- • I executed the sale of a software license for $3.0 MM in revenue, as a stock contribution, after closing on a deal valued at $90 MM, to form a new credit card processor of Visa/MC to process in Costa Rica only.
- • Executed M&A, new ventures, new funding market strategies with goals to create/increase equity/assets value but with a focus to plan, develop, and execute essential international corporate governance, financial modelling to generate international direct investments in internal companies.
- • Secured $1.0 MM credit line at 8% interest from Symbiotics a global social impact European firm that manages $1.4 billion. I planned, developed, executed through cold calling and started this relationship. Also directed the financial analysis, projections and valuation.
- • Innovated with business models and market facts that convinced top executive of Visa LatAm to approve major exceptions to their Principal memberships reserved for banks only, such membership was approved for Versatec, a small Panamanian Visa and PCI processing company, it took 13 months to get approved.
- • Negotiated with Visa a $375,000 reduction in country fees waivers to make the project feasible for this small processor. Visa created a new Vice presidency to grow.
- • Restructured, implemented new AML policies to comply with US AML laws. Without AML compliance experience.
- • I directed the restructuring and managed the hiring of the right manager to implement the very complex IT migration of all the credit card processing systems from client/server based to web based (.NET and SQL Server).

Infrastructure Fund for Central America - IFCA- • Structured and sold to institutional investors a $100 MM private equity fund for poverty reduction infrastructure projects.
- • Obtained preliminary verbal commitments of $50 MM from CDC, DEG, FMO and Finn fund from the EU.
- • Directed and supervised the preparation of the marketing presentations, terms and placement memorandum.
- • At the end of my contract, Mr. Volio would not match a required $1MM investment, so I ended it.
- • Cold called and met investors, CDC, DEG, FMO, Finn fund, IFU, and Triodos Fund from the EU. Goldman Sachs, Lehman Brothers, Citibank, Merrill Lynch, Barclays, Standard Charter and Morgan Stanley from the US.

- • Secured the closing of $10.25 million CASEIF’s shareholder agreement between the MIF/IDB, Norfund and LIM, as well as the management contract. Hired and trained as investment officer the actual Managing Director. Later on, secured the closing on a second capitalization for $5.5 million,
- • Founded from zero an SME PE fund for Central America, Panama, after being in paper for over 1 year.
- • Closed 7 deals with 20 contracts for $6.8 million and generated pipeline of 10 new deals for $5.0 million.
- • Generated loan income of over 50% of the operating costs on the second year, $171,326 the third year, when losses were expected the first five years. Fund’s legal representative of all countries and companies.
- • Executed, as director and minority, growth strategies of investee revenues in plastic manufacturing, fish processing, fiber optic/data transmission, ISP, faucet manufacturing, and hotel/tourism in 4 countries.
- • Created innovative legal contracts used over 3 contracts per deal to make quasi-equity structures fully enforceable. Approved and signed on over 20 legal contracts for the first 7 deals in four different countries.
